Terms and conditions

SmartPatrol is a hosted platform for planning guard tours, verifying checkpoint scans against geofences, managing field devices, recording exceptions and incidents, and generating management reports. We provide it on a subscription basis to security companies and their authorised users.

• A customer administrator is responsible for creating users, assigning roles and removing access when it is no longer needed.
• You must keep credentials confidential, enrol multi-factor authentication where required, and tell us promptly of any suspected compromise.
• Field devices must be enrolled with the activation codes provided in the console and revoked when lost or reassigned.
• You are responsible for all activity that occurs under your accounts and enrolled devices.

You agree not to:

• use the platform unlawfully, or to infringe the rights of others;
• attempt to access data belonging to other customers, or probe, scan or test the security of the service without our written permission;
• reverse engineer, resell or provide the service to third parties except as expressly permitted;
• upload malware, or content you have no right to upload;
• falsify patrol, checkpoint or evidence records.

As between the parties, the customer owns the data it and its users put into SmartPatrol, including patrol records and evidence media. The customer grants SmartCheck the rights needed to host and process that data to provide the service. Our handling of personal data is described in the Privacy policy.

We aim to keep the service available and to apply security updates promptly, but the service is provided on an “as available” basis. Planned maintenance will be communicated where practicable. Specific service levels, if any, are set out in your order or a separate agreement.

Subscription fees, billing frequency and any usage limits are set out in your order. Fees are payable in advance and are non-refundable except where required by law or expressly stated.

SmartCheck and its licensors retain all rights in the SmartPatrol platform, its software, design and documentation. Nothing in these terms transfers ownership of the platform to you.

To the fullest extent permitted by law, neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill. SmartCheck's total liability arising out of or in connection with the service is limited to the fees paid for the service in the twelve months before the event giving rise to the claim. Nothing limits liability that cannot be limited by law.

We may suspend access to protect the service or other customers, or where fees are overdue. Either party may terminate for material breach that is not remedied within 30 days. On termination, access ends and customer data is deleted or returned in line with the Privacy policy and your instructions.

We may update these terms from time to time. Material changes will be notified to customer administrators. Continued use after a change takes effect constitutes acceptance.

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have exclusive jurisdiction, unless your order states otherwise. Questions about these terms: info@smartcheck.com.ng.
